Terms of Service

1. Acceptance of Terms

By accessing or using our website and services, you agree to be bound by these Terms.

If you act on behalf of an organization, you represent that you are authorized to bind that organization.

2. Scope of Services

We provide website development, app development, POS systems, mini program solutions, system integration, and related consulting services.

Specific deliverables, timelines, fees, and acceptance criteria are governed by signed proposals, quotations, or service agreements.

3. Customer Responsibilities

Customers must provide timely, accurate, complete, and lawful information, access credentials, and feedback.

Customers are responsible for ensuring that supplied content, data, assets, and third-party permissions do not infringe any rights.

4. Fees and Payment

Service fees, milestone payments, and invoicing are as set out in commercial documents between the parties.

Late payment may result in service suspension, delivery delays, or reasonable recovery costs.

5. Intellectual Property

Unless otherwise agreed in writing, ownership and usage rights of deliverables are governed by the applicable contract.

We retain rights in general know-how, tools, frameworks, and pre-existing assets used in delivery.

6. Confidentiality

Each party must keep confidential business secrets and non-public information, except where disclosure is required for delivery or by law.

7. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, consequential, or loss-of-profit damages.

Our aggregate liability is limited to fees paid under the relevant service agreement, unless otherwise required by mandatory law.

8. Termination

Either party may terminate services for material breach not cured within a reasonable period.

Upon termination, confidentiality, payment, and other obligations intended to survive will remain effective.

9. Governing Law and Dispute Resolution

These Terms are governed by applicable laws of New Zealand.

Parties should first attempt to resolve disputes amicably; unresolved disputes may be submitted to courts with competent jurisdiction.

10. Changes to Terms

We may update these Terms from time to time, and updated versions become effective upon publication on this page.
